Aster DM Healthcare-Quality Care Merger Clears NCLT Step, Shareholders’ Meetings To Be Held

The proposed merger between Aster DM Healthcare Limited and Quality Care India Ltd has crossed a key regulatory milestone, with the National Company Law Tribunal (NCLT), Hyderabad Bench, directing the companies to convene meetings of shareholders and unsecured trade creditors to seek approval for the transaction.

The meetings are scheduled to be held between February 27, 2026 and March 13, 2026, the company said on Thursday. The merger has already received approvals from the Competition Commission of India (CCI) and ‘No Objection’ letters from the stock exchanges.

Subject to shareholder, creditor and remaining regulatory approvals, Aster DM Healthcare expects the merger to be completed by the first quarter of FY2026-27.

Once completed, the combined entity, to be named Aster DM Quality Care Limited, will be promoted by Aster promoters and global private equity firm Blackstone, and is set to emerge as one of India’s top three hospital chains by capacity.

The merger provides a strong platform to scale efficiently, enhance clinical excellence, and accelerate innovation, enabling us to build a more resilient and future-ready healthcare organization that delivers improved access and outcomes for patients across the country, he added.

The merged entity will house four leading healthcare brands – Aster DM, CARE Hospitals, KIMSHEALTH and Evercare – creating a diversified hospital network across multiple regions. As of September 30, 2025, the combined bed strength of Aster and Quality Care India stood at over 10,360 beds, with Aster contributing more than 5,195 beds and Quality Care around 5,165 beds.

Looking ahead, the combined platform plans to expand bed capacity to approximately 14,715 beds over the coming years. The larger scale is also expected to strengthen the group’s ability to invest in advanced medical technologies and digital health platforms, aimed at improving clinical outcomes and offering a more integrated patient experience.

The merger is among the largest consolidation moves in India’s healthcare sector and reflects the growing trend of scale-driven expansion as hospital operators seek operational efficiencies, wider geographic reach and stronger clinical capabilities.
